OptiRoth Terms of Service
Effective date: October 13, 2026
These Terms are an agreement between you and Erisman Data Technologies LLC, an Arizona limited liability company ("we", "us"), for your use of OptiRoth at https://optiroth.com (the "Service"). You accept these Terms when you tick the box saying you agree to them (when you create an account, the first time you sign in with Google or Apple or join a team, the first time you sign in after we change the Terms, or when you subscribe), and by using the Service after that. If you accept for a firm, you confirm you can bind it, and "you" includes the firm.
1. Important notice: for financial professionals only; not investment, tax or legal advice
- OptiRoth is licensed only to professionals. It is for individuals and firms that provide financial, tax, legal or similar professional services (such as financial advisors, CPAs, enrolled agents and attorneys) and use it in that work. By creating an account you confirm that you are such a professional and will use the Service only for your professional work. It is not offered to consumers for their personal, family or household financial decisions. If you are not a professional using it for your own clients, do not use it.
- We do not provide investment, tax, legal, accounting or financial advice. We are not an investment adviser, broker-dealer, tax preparer, law firm or accounting firm. Nothing in the Service, its outputs, or our communications is a recommendation to buy, sell or hold any security or other investment, to adopt any asset allocation, to take any tax position, or to take any action for any person. We have no advisory, fiduciary or other relationship with you or your clients, and we owe no duty to your clients. Nothing in these Terms limits any duty you owe your clients. We never see your client's full circumstances; we only process the numbers you enter.
- The Service does not select, rank or recommend securities, funds, investment products or advisers, and does not execute trades or conversions, hold, move or convert money or assets, or connect to custodians or accounts.
- Independence. We receive no compensation from any investment adviser, broker-dealer, insurance company, fund sponsor or other financial-product provider in connection with the Service, and the Service favors no product or provider.
- You use your own professional judgment. Results are hypothetical projections produced from assumptions that you choose. You must review the inputs and outputs, decide whether and how to use them, and you alone are responsible for your advice, recommendations, disclosures, supervision and compliance with every law, regulation, professional standard and firm policy that applies to you, including any fiduciary duty, Regulation Best Interest, FINRA rules, and communications-review and supervision requirements. If your firm requires review or approval of tools or client communications, obtain it before sharing outputs with clients; until then, outputs are working aids.
- Sharing outputs with clients. If you share outputs with a client, you will keep the disclosures the Service displays with them, present them as your own work product based on your assumptions, and not represent them as our advice, as a guarantee, or as reviewed or approved by any regulator.
- If you are a CPA, attorney, enrolled agent or other practitioner, your own professional standards (for example, IRS Circular 230) continue to apply to you. The Service is not a substitute for them.
2. What the Service does, and its limits
The Service is calculation software. It applies the tax, Social Security and Medicare rules it models to the facts and assumptions you enter, and reports the Roth IRA conversion amounts and Social Security claiming ages that produce the highest modeled after-tax net worth at the end of a plan. It uses deterministic assumptions that you enter (for example, investment returns that the tool limits to 0-9% per year, and inflation), 2026 federal and state tax law, Medicare IRMAA, and required minimum distributions. It shows a year-by-year plan and plain-English reasons. The assumptions and rules behind each result are listed with it in the Service.
You understand that:
- Results depend on your inputs and assumptions. Wrong or unrealistic inputs produce wrong results. Results are hypothetical projections: they are not forecasts of investment performance and not guarantees of any tax, benefit or financial outcome. Real returns, inflation, laws, tax rates, thresholds, benefits and personal circumstances will differ. Rates of return are your assumptions; the Service does not estimate or recommend them. The 2026 tax tables may not reflect later changes in law, and we may not update the Service when law changes or on any schedule. The Service does not prepare or file tax returns.
- The model simplifies. It may not capture every tax rule, state rule, phase-out, credit, interaction, or personal fact. Some outputs may be wrong. Check outputs against your own analysis and, where appropriate, a qualified tax professional.
- We do not promise any particular outcome, tax saving or net-worth result.
3. Eligibility and your account
- You must be at least 18 and legally able to enter this agreement.
- Sign up with an email address and password, or with Google or Apple sign-in. If you use Google or Apple, that provider's terms also apply to that sign-in, and you must still accept these Terms by ticking the box before you use the Service.
- Give accurate account information (email, name, company name) and keep it current. Keep your email current, because we send security and breach notices there.
- Keep your credentials confidential, use a strong unique password, and do not share your account. You are responsible for activity under your account. Tell us promptly at [email protected] if you suspect unauthorized use.
- One account is for one person.
- Professional credential. Before you use the Service or buy a subscription, you must give one professional credential of your own that is current: a CRD number, an NPN, a CPA license number, an attorney bar number or an enrolled agent number. We may check it against public records and ask you for proof that it is yours.
- One credential, one account. A credential can be on one OptiRoth account only. The first account to give it keeps it; we will refuse it on any other account. Do not let anyone else use your credential to open or keep an account, and do not use anyone else's.
4. Your client data: authority, consent and responsibility
"Client Data" means information you enter or create in the Service about your clients or prospects, including names or case labels, birthdates, IRA balances and basis, Social Security benefit amounts, wages, retirement dates, state of residence, living expenses, cash, and the plans computed from them. Client Data stays yours (Section 11).
Team plans. On a team plan, the client folders an advisor creates while on the team, with the plans and comparisons in them, are Client Data of the firm that holds the team plan. The team's admin can view them, can assign them to another advisor on the team, and keeps them when the advisor leaves the team or the team plan ends. Folders an advisor created before joining the team stay with that advisor.
You represent, warrant and agree that:
- You have the authority and all consents, notices and legal bases needed under law, your agreements with clients, and your firm's policies (including the Gramm-Leach-Bliley Act, SEC Regulation S-P, the FTC Safeguards Rule, and state laws, as they apply to you) to enter Client Data into the Service and have us process it as described here.
- Data minimization: enter only what you need. We recommend you use case labels, initials or other pseudonyms instead of full names. Do not enter Social Security numbers, tax ID numbers, account numbers, passwords, driver's license numbers, or health information. The Service does not need them.
- You are responsible for your own compliance duties as a financial professional, including vendor due diligence on us, client privacy notices, recordkeeping, supervision, and any notices to clients or regulators after a data incident. Section 12 describes what we will do to support you.
- You will not use the Service in violation of your firm's policies or your regulators' rules.
5. Acceptable use
You will not, and will not allow others to:
- give a credential that is false, not yours, or no longer valid, or let anyone else use your credential or your account;
- use the Service for personal or consumer financial planning for the general public, or hold it out as your own advisory service;
- violate law, or infringe or violate any person's rights;
- enter data you have no right to enter;
- probe, scan or test the Service's security, or bypass access controls, rate limits or usage limits, except through our written authorization;
- access another user's data or accounts;
- introduce malware, or overload or disrupt the Service (including by automated scraping or bulk requests);
- reverse engineer, decompile, or copy the Service's calculation logic or code, or build a competing product from it, except to the extent law does not allow this restriction;
- resell, sublicense or provide the Service to third parties as a service bureau;
- misrepresent the Service's outputs as a guarantee, as our advice, or as endorsed by us; or
- use outputs in marketing that promises or implies specific investment or tax results.
We may suspend access immediately if we reasonably believe you have breached this Section or that your account is a security risk.
6. Plans, fees and billing
- Plans. A new account includes one free calculation. After that, using the Service requires a paid subscription (currently Basic, Pro and Pro for teams). Every plan can be billed monthly or yearly. Each plan's price, features and monthly allowance of High precision calculations are shown on our website and in the Service.
- Paddle is our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's buyer terms govern payment, taxes, invoices and refunds; these Terms govern your use of the Service. Paddle is not responsible for the Service or its outputs.
- Renewal and cancellation. Subscriptions renew automatically at the end of each billing period (a month or a year) until cancelled. You can cancel at any time from your Profile. Cancellation takes effect at the end of the current billing period, and you keep access until then, unless we close your account under Section 14. If a payment fails, access continues while Paddle retries it and ends if the subscription is cancelled.
- Plan changes. Upgrades and changes between monthly and yearly billing take effect immediately: you pay the prorated difference that day, or the unused part of your current period becomes credit that Paddle applies to your next bills. A switch from Pro to Basic on the same billing cycle takes effect at the end of the paid period. If you cancel with unused credit, email [email protected] and we will refund it.
- One advisor per subscription. Each subscription, and each license on a team plan, is for one named advisor: the person who holds the account. That advisor may use it only in their own professional work, with data about their own clients and prospects. It may not be used by or for anyone else, including other advisors (even at the same firm), clients themselves, or the public.
- Fair use. Unlimited calculations are subject to fair use. We may limit, queue or suspend automated, scripted or bulk use, or use that slows the Service for other users.
- Refunds. You can request a full refund of any payment within 14 days of that payment, for any reason. To request a refund, email [email protected] from your account email, or find your purchase at paddle.net. Refunds are processed by Paddle. When a payment is refunded, the subscription it paid for ends and access stops. Where the law gives you more rights, those apply.
- Taxes. Paddle calculates and collects any sales tax, VAT or similar tax due on your purchase.
- Price changes. We will give at least 30 days' notice of a price change by email or in the Service. It applies from your next renewal after the notice period; you can cancel before then.
- No service level. We do not promise any particular availability, support response time or continued offering of any feature. Do not rely on the Service as the only place where you keep your plans or client records. Keep your own records of what you need.
- The disclaimers and limitations in these Terms apply regardless of who processes your payment.
7. Our intellectual property; your feedback
We own the Service, its software, calculation methods, design and text. We give you a limited, non-exclusive, non-transferable, revocable license to use the Service for your professional work under these Terms. You may keep and use the plans and outputs generated for your clients in your practice. If you send us suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
8. Privacy
Our Privacy Policy explains what we collect and how we handle it. It is part of these Terms.
9. Disclaimer of warranties
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, that outputs will be accurate, complete, or current, that they comply with any law or regulatory standard, or that any plan will produce any result. This Section does not reduce the commitments in Section 12 as written, but liability for breaching them is subject to Section 10.
10. Limitation of liability
To the fullest extent permitted by law:
- No indirect damages. We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost clients, lost investment or tax outcomes, loss of goodwill, or the cost of substitute services, even if told they were possible.
- Cap. Our total liability to you for all claims relating to the Service or these Terms will not exceed the greater of (a) the amount you paid for the Service (through Paddle or otherwise) in the 12 months before the event giving rise to the claim, and (b) US$100. The cap applies to all claims, including claims under Section 12. It does not apply to liability that cannot be limited by law, such as for fraud or willful misconduct.
- Your advice and your clients. We are not responsible for advice you give, decisions you or your clients make, or losses or tax outcomes that follow from relying on outputs. You are responsible for verifying outputs before relying on them.
- These limits apply under any legal theory. Some laws do not allow certain limits, so they apply only to the extent allowed.
11. Your data, our use of it
- Ownership. You retain all rights in your Client Data (on a team plan, the firm retains the team's client folders, as Section 4 describes). We claim no ownership of it.
- License. You give us a limited license to host, process, back up and display Client Data only as needed to provide, secure and support the Service for you, and as required by law.
- No sale, no marketing use. We do not sell Client Data or account data or share it for marketing. We do not use Client Data to market to you or your clients. We do not use Client Data in aggregated or de-identified form for any other purpose.
- Deletion. You can delete plans and client folders yourself. Deletion is immediate in the live database. Encrypted backups containing deleted data are kept for up to 30 days and then removed. Closing your account is handled under Section 14. Closing your account does not delete the records of your acceptance of these Terms and of your subscription consents, which we keep as the Privacy Policy describes.
12. Service provider and data-protection terms (for regulated advisors)
This Section is for advisors whose firms are covered by SEC Regulation S-P (17 CFR 248.30), the FTC Safeguards Rule (16 CFR Part 314), or similar laws and who treat us as a service provider that receives, maintains or processes client "customer information." It forms a data-protection addendum to these Terms for that purpose.
Roles. You are the covered institution or its personnel and decide what Client Data to enter. We process Client Data only on your instructions as set out in these Terms and the product's functions, as a service provider.
Our commitments
- Limited use. We will use and disclose Client Data only to provide the Service to you, to maintain its security, to comply with law, or as you direct. No sale, no marketing, no use for advertising or tracking.
- Safeguards. We maintain administrative, technical and physical safeguards appropriate to the Service, as described honestly in Section 13 and our Privacy Policy. We will not give you inaccurate descriptions of our security.
- Incident notice within 72 hours. If we become aware of a breach of security that resulted in unauthorized access to or use of Client Data on a system we maintain, we will notify you by email at your account address as soon as practicable and no later than 72 hours after becoming aware. The notice will state what we then know: what happened, when, what categories of Client Data and which of your accounts or records are involved, what we have done to contain it, and a contact for follow-up. We will update you as we learn more and reasonably cooperate with your investigation and your notice obligations to clients, regulators and others. You decide whether, when and how to notify your clients and regulators, and that duty stays with you unless we agree otherwise in writing. We do not notify your clients on your behalf. We will notify you, as Arizona law (A.R.S. 18-552) requires of a person maintaining data, as soon as practicable after discovery of a breach.
- Subprocessors. The only third parties that handle Client Data on our behalf are Cloudflare (traffic proxy/tunnel and TLS), and Google or Apple only if you choose those sign-in methods (they handle your sign-in identity, not Client Data). Google Workspace carries our email: the messages we send you (password resets and plan-ready notices) and the messages you send to [email protected]. Our notices do not contain Client Data; please do not put Client Data in an email to us. Paddle handles payment and does not receive Client Data. We will tell you before adding another subprocessor that would receive Client Data, by email or notice in the Service, and you may object by closing your account. We stay responsible for these subprocessors' handling of Client Data as the Service's provider.
- Confidentiality. Only people at our company who need access to operate, secure or support the Service may access Client Data, and they are bound to keep it confidential.
- Return and deletion. You can delete Client Data yourself at any time. After you close your account, or on your written request, we will delete your Client Data from the live database within 30 days, and remaining encrypted backups expire within up to 30 days after deletion. While your account is open, we will send you your plans as a data file on request.
- Due diligence and records. On reasonable request (not more than once a year, except after an incident) we will answer written questions about our safeguards and give you information reasonably needed for your vendor oversight and recordkeeping. We do not currently hold a SOC 2 report or other third-party security certification, and we do not offer round-the-clock monitoring; you should weigh this in your own vendor assessment.
- Legal process. If we receive a subpoena or demand for your Client Data, we will, where the law allows, tell you promptly so you can respond, and disclose only what we are legally required to.
- Regulator access. We will reasonably cooperate if a regulator with authority over you requests information about our handling of your Client Data, to the extent permitted by law.
Your commitments. You will use the Service consistent with Sections 4 and 5, keep your credentials secure, give us a current security contact email, and tell us promptly of any suspected account compromise.
If your firm requires its own data-processing agreement, contact us. If it conflicts with this Section, the signed agreement controls only for that firm.
13. Security: what we do and do not claim
We describe this so you can make an informed decision.
- Passwords are stored only as salted scrypt hashes.
- Sessions use a cookie flagged HttpOnly and Secure. We use no analytics, advertising or tracking cookies.
- The application and its database run on a server that we operate in Arizona, and traffic reaches it through Cloudflare, which provides TLS.
- Nightly backups are encrypted (AES-GCM, with a private key we hold) and kept on separate local storage. We may add an encrypted offline drive.
- We do not claim a SOC 2 or ISO 27001 report, encryption at rest of the live database, 24/7 monitoring, or any particular uptime. No system is perfectly secure.
14. Term, suspension and termination
- You may stop using the Service and close your account at any time by deleting your data and emailing us, or by using any account-closure function we provide.
- We may suspend or terminate your access at any time, with or without cause. Where practical and safe, we will give notice and let you export or delete your data before we do so. We may act immediately for breaches of Section 5, security risks, legal requirements, or if we discontinue the Service.
- Closing an account for misuse. If we reasonably believe that you gave a false credential or someone else's, let someone else use your credential or account, or otherwise breached Section 5, we may close your account immediately and without notice, whatever you have paid and even if your billing period has not ended. We cancel your subscription when we close it. You do not get a refund for the rest of the paid period, except as the Refunds paragraph in Section 6 or the law requires.
- On termination, your right to use the Service ends. Sections 1, 2, 4, 7, 9, 10, 11 (as to deletion), 15, 16 and 17, and anything meant to survive, survive. We will treat your Client Data under Section 12(6).
15. Indemnity
You will defend and indemnify us and our members and agents against third-party claims, and the resulting losses and reasonable legal costs, arising from (a) your Client Data and your lack of authority or consent to enter it, (b) your advice, recommendations or use of outputs with clients, or (c) your breach of Sections 4 or 5. This does not apply to the extent a claim is caused by our breach of these Terms, our gross negligence or our willful misconduct.
16. Governing law and disputes
- Governing law. Arizona law governs these Terms and any dispute, without regard to conflict-of-laws rules. Federal law governs where it applies.
- Informal resolution first. Email [email protected] with a description of the dispute. Both of us will try in good faith for 30 days to resolve it before filing anything.
- Venue. Disputes go to the state or federal courts located in Maricopa County, Arizona, and both of us consent to their jurisdiction.
- Limitation period. To the extent permitted by law, claims must be brought within one year after they accrue. The 30-day informal-resolution period above does not count toward that year.
17. General
- Changes. We may update these Terms. For material changes we will give at least 30 days' notice by email to your account address and by a notice in the Service. The next time you sign in after the effective date, we will ask you to accept the updated Terms by ticking a box, and you cannot use the Service until you do (you can still cancel your subscription and sign out). A change needed sooner for legal or security reasons takes effect when you accept it. If you do not agree, stop using the Service and close your account. Changes do not apply retroactively to disputes that began before the change.
- Entire agreement. These Terms, the Privacy Policy and any signed addendum are the whole agreement and replace earlier discussions on this subject.
- Severability; no waiver. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in a merger, acquisition, or sale of the Service, with notice to you, and we will keep protecting your Client Data on the terms of Section 12.
- Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, such as power or internet failure, upstream provider outage, or natural disaster.
- Notices. We may notify you by email at your account address or in the Service. You may notify us at [email protected].
- Independent parties. No partnership, agency, employment, advisory or fiduciary relationship is created.
- Export and sanctions. You will not use the Service in violation of U.S. export or sanctions laws.
- Not for consumer use. The Service is offered for business use only, not for personal, family or household use.
